Acceptance of Terms
By accessing and using the Hey Next website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services Description
Hey Next provides AI consulting, implementation, training, and ongoing partnership services. The specific scope, deliverables, and timelines for each engagement are defined in individual project agreements between Hey Next and the client.
Payment Terms
All fees are quoted and payable in US Dollars (USD) unless otherwise specified in the individual project agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Hey Next reserves the right to pause work on projects with outstanding invoices exceeding 30 days.
Intellectual Property
Upon full payment, clients receive ownership of all custom deliverables created during their engagement. Hey Next retains the right to use general methodologies, frameworks, and non-proprietary knowledge gained during engagements. Pre-existing intellectual property of either party remains with its original owner.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the engagement. This includes but is not limited to business processes, client data, financial information, and system architecture details. This obligation survives the termination of any engagement for a period of 2 years.
Cancellation & Refunds
Either party may terminate an engagement with 15 days written notice. If the client cancels, the client shall pay for all work completed up to the date of cancellation plus any non-recoverable third-party costs. Deposits are non-refundable unless Hey Next is unable to commence work within 30 days of the agreed start date. Hey Next reserves the right to terminate engagements where the client fails to provide required materials or feedback within agreed timelines.
Limitation of Liability
Hey Next provides services on an as-is basis. While we strive for the highest quality, we make no guarantees regarding specific business outcomes. Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific engagement giving rise to the claim.
Governing Law
These terms are governed by the federal laws of Mexico, with the courts of the City of Puebla, State of Puebla, Mexico having exclusive jurisdiction. For international clients, disputes shall first be resolved through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration administered under the rules of the Centro de Arbitraje de México (CAM), with proceedings held in Puebla, Mexico.
